AGM & Our CIO Proposal
Information for members ahead of the AGM on 19 October 2026.
The trustees propose to move the CCA’s charitable work and assets into an association Charitable Incorporated Organisation (CIO), then dissolve the existing association after the transfer is complete. Members are being asked to authorise that conditional transfer and dissolution.
What would change
A CIO is a charity with its own legal identity. It can hold property, employ staff and enter contracts in its own name. The proposed association model retains a wider voting membership. The new CIO would have its own charity registration number and would operate under the proposed CIO constitution.
What would continue
The proposed CIO has the same charitable purposes: benefiting the inhabitants of Churchdown and the neighbourhood and providing and maintaining a community centre. The intention is to continue the CCA’s community work through the successor charity. The resolution preserves restrictions on charitable assets and requires lawful arrangements for existing obligations.
What members are being asked to approve
The formal resolution authorises the transfer of the existing association’s undertaking and assets to the successor CIO and the subsequent dissolution of the association. It does not close the centre or dissolve the association at the AGM. Completion depends on registration, necessary consents, completed transfer arrangements and provision for debts and liabilities.
How the proposed CIO would be governed
The constitution names four first trustees, with six further trustees to be appointed at the first meeting after registration. It retains voting membership and provides for trustee elections and retirement. Please read the full membership, appointment and voting provisions in the published constitution.
Which rules apply to this vote
The existing association’s constitution applies. The quorum is 15 members and the clause 20 resolution requires a simple majority of those present and voting. Please check your existing membership status with the office. The proposed CIO’s proxy and postal voting provisions do not apply for this meeting.
Read the papers and ask questions
The trustees approved the proposed constitution and application paperwork on 7 September 2026. The public application removes private identity/contact details and internal financial figures; the original registration paperwork remains held privately. The constitutional governance text is retained.
